What is an escrow service?

An escrow service involves an escrow agreement where a third party (the escrow agent) holds assets for two parties engaged in a transaction. 

The escrow agent only releases the involved assets when predetermined contractual obligations are met or upon receiving suitable instructions, thus giving the parties security that the other party delivers under the underlying contract such as a share purchase agreement (SPA) in an M&A deal.  

Escrow can encompass money, securities, funds, and various other assets.

How do escrow services work?

Parties  
  • The Depository: Transfers assets and funds to the escrow account or wallet for safekeeping. 
  • The Beneficiary: Receives safeguarded assets and funds upon fulfilling the release conditions. 
  • LEXR Finance (Escrow Agent): Holds assets and funds securely until the transaction is complete and all parties meet their obligations.

  • Kick-off call: We assess your needs and discuss mutually acceptable escrow arrangements. 
  • Contract drafting: We create a personalized escrow agreement based on the initial call. 
  • Identification and account opening: We guide you through a smooth identification process for account opening and compliance with anti-money laundering obligations. 
  • Deposit: One party deposits the assets to be held in escrow, where they remain until agreed conditions are met. 
  • Release: Upon completing the transaction according to the escrow agreement, assets are released to the recipient.
